Parties: “Corax” or “we” or “us” means Coraxity, Inc. “Customer” or “you” means the individual or entity that has created a Corax account.
1. Acceptance of Terms
By creating an account or using the Corax platform you agree to these Terms of Service. If you are using Corax on behalf of an organization you represent that you have authority to bind that organization to these terms.
2. Description of Service
Corax provides an autonomous IT operations platform that monitors customer infrastructure, detects errors, and deploys AI-generated fixes. The service includes website monitoring, autonomous healing, UX optimization, voice escalation via VAPI, and related features as described at coraxity.com.
3. Account Registration
3.1 You must provide accurate and complete information when creating an account.
3.2 You are responsible for maintaining the security of your account credentials.
3.3 You must notify Corax immediately of any unauthorized account access at security@coraxity.com.
3.4 You must be at least 18 years old to use the service.
4. Acceptable Use
4.1 You may use Corax only for lawful purposes and only to manage infrastructure that you own or are authorized to manage.
4.2 You may not use Corax to:
- (a) Monitor or modify systems without authorization
- (b) Circumvent security controls of any system
- (c) Violate any applicable law or regulation
- (d) Infringe the intellectual property rights of others
- (e) Transmit malware or malicious code
- (f) Interfere with the operation of the Corax platform
- (g) Resell access to the platform without a valid MSP Partner Agreement
5. Credits and Payment
5.1 Credits are purchased in packs as described at coraxity.com/pricing. Credits have no cash value and are non-refundable except as required by law.
5.2 Free trial credits expire 30 days after account creation. Purchased credits expire 12 months from the date of purchase.
5.3 Corax reserves the right to adjust credit pricing with 30 days notice to existing customers.
5.4 Auto-recharge: If you enable auto-recharge, your saved payment method will be charged automatically when your credit balance falls below your configured threshold. You may disable auto-recharge at any time in billing settings.
5.5 Subscription customers (MSP, Business, Enterprise, and above) are billed monthly or annually as selected. Subscriptions auto-renew unless cancelled at least 7 days before the renewal date.
5.6 Annual subscriptions are non-refundable after the first 30 days. Monthly subscriptions may be cancelled at any time with effect at the end of the current billing period.
5.7 All prices are in USD and exclusive of applicable taxes.
6. Autonomous Healing — Important Limitations
6.1 Corax uses artificial intelligence to analyze errors and generate code fixes. While we take care to generate accurate and safe fixes, AI-generated code may contain errors or have unintended consequences.
6.2 ASSISTED and AUTOMATIC healing modes deploy fixes without requiring your prior approval for each fix. By enabling these modes you accept the risk that a deployed fix may not perform as expected.
6.3 We strongly recommend using REPORT_ONLY mode for production systems until you have evaluated Corax's performance in your specific environment.
6.4 All deployed fixes are logged with full diffs and can be reverted with one click. Corax retains fix history for 12 months.
6.5 CORAX IS NOT LIABLE FOR ANY DAMAGES ARISING FROM AI-GENERATED CODE FIXES DEPLOYED IN AUTOMATIC OR ASSISTED MODE. YOUR USE OF THESE MODES IS ENTIRELY AT YOUR OWN RISK.
7. Data and Privacy
7.1 Corax processes your data as described in our Privacy Policy.
7.2 You retain ownership of all your data. Corax processes your data only to provide the service.
7.3 Corax does not sell your data to third parties.
7.4 Your code and infrastructure data is processed by Anthropic's Claude AI models to generate healing fixes. By using Corax you consent to this processing.
7.5 Enterprise customers may configure Corax to use their own AI provider, in which case your data is not sent to Anthropic. See coraxity.com/privacy for details.
8. Intellectual Property
8.1 Corax retains all rights to the Corax platform, including all software, algorithms, and documentation.
8.2 You retain all rights to your code, data, and infrastructure. Nothing in these terms transfers any intellectual property rights to Corax.
8.3 Fixes generated by Corax's AI and deployed to your codebase become part of your codebase and are owned by you.
9. Confidentiality
9.1 Each party agrees to keep the other's confidential information confidential and to use it only for purposes of performing under these terms.
9.2 Your infrastructure credentials, codebase, and configuration are your confidential information.
9.3 Corax's pricing, algorithms, and internal systems are Corax's confidential information.
10. Limitation of Liability
10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORAX'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CORAX IN THE 12 MONTHS PRECEDING THE CLAIM.
10.2 IN NO EVENT SHALL CORAX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.3 THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY INCLUDING CONTRACT, TORT, OR OTHERWISE.
11. Indemnification
You agree to indemnify and hold Corax harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these terms, or your violation of any third party rights.
12. Service Availability
12.1 Corax targets 99.9% uptime for the platform but does not guarantee any specific availability level for Web or MSP tier customers.
12.2 Enterprise, Enterprise Plus, and NOC Replacement customers receive availability guarantees as specified in their Service Level Agreement.
12.3 Scheduled maintenance will be announced at least 48 hours in advance at status.coraxity.com.
13. Termination
13.1 You may terminate your account at any time through account settings.
13.2 Corax may terminate or suspend your account immediately for material breach of these terms, non-payment, or activity that threatens the security or integrity of the platform.
13.3 On termination, your access to the service ends immediately. Remaining credit balances are forfeited except where required by law.
13.4 You may request export of your data within 30 days of termination. After 30 days data will be deleted.
14. Changes to Terms
Corax may update these terms with 30 days notice via email to your registered address. Continued use after the effective date constitutes acceptance of the updated terms.
15. Governing Law
These terms are governed by the laws of the State of Florida, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Hillsborough County, Florida.
16. Entire Agreement
These terms, together with the Privacy Policy and any applicable Service Level Agreement or MSP Partner Agreement, constitute the entire agreement between you and Corax regarding the service.
